Purpose and scope
These terms govern the consulting, design, development, search, hosting and maintenance services provided by Azetria SAS to professional clients. Any order implies unreserved acceptance. They prevail over the client's purchasing terms unless otherwise agreed in writing.
Quotes and orders
Quotes are valid for thirty days. An order is firm upon receipt of the signed quote and the deposit. Ranges published on the site are indicative and do not constitute an offer.
Client obligations
The client appoints a decision-making contact, provides content, access and approvals within the agreed timeframes, and warrants that it holds the rights to the material supplied. An approval delay exceeding ten business days shifts the schedule and may require replanning.
Prices and payment
Prices are in euros excluding tax. Standard schedule: 30 % on order, instalments per delivered work package, and a 15 % balance on go-live. Payment within thirty days of the invoice date. Late payment incurs interest at the ECB rate plus ten points, plus a fixed recovery fee of 40 euros.
Delivery and acceptance
Each work package is subject to a ten-business-day acceptance period. Without written reservations within that period, the package is deemed accepted. Reservations must relate to a deviation from the contractual scope, not to a new request.
Intellectual property
Economic rights in bespoke developments are transferred to the client upon full payment. Open source libraries remain governed by their respective licences. Azetria retains the right to reuse its know-how and generic components.
Warranty
Six months from go-live for any defect within the delivered scope. Defects caused by client modifications, third parties, or an environment that does not meet the stated prerequisites are excluded.
Liability
Azetria has an obligation of means. Total liability is capped at the amount actually paid, excluding tax, for the service concerned. Indirect damages, in particular loss of business, data or revenue, are excluded.
Termination
Either party may terminate at the end of a work package with thirty days' written notice. Delivered packages remain payable. Maintenance contracts run for one year, renew tacitly, and can be terminated with two months' notice.
Governing law
French law applies. Failing amicable resolution within thirty days of a dispute being notified, the courts of Paris have exclusive jurisdiction.
